These Terms and Conditions (“Terms”) govern your access to and use of the website operated by Iron North Machining Ltd. (“Iron North”, “Iron North Machining”, “we”, “us”, or “our”) and any products or services provided by us. By accessing our website, requesting a quote, placing an order, or engaging our services, you agree to be bound by these Terms.
1. Services Offered
Iron North Machining Ltd. provides precision machining, manufacturing, prototyping, fabrication, and related industrial services. Services are primarily intended for commercial and industrial customers.
All services are subject to availability and may change without notice.
2. Quotes and Orders

All quotes are non-binding unless expressly stated otherwise in writing.

Quotes are valid for 30 days unless otherwise specified.

Pricing may be adjusted due to changes in material costs, specifications, lead times, or scope.

Orders are accepted only once confirmed in writing by Iron North.

Any work performed outside the original scope of a quote shall be billed at Iron North’s standard rates unless otherwise agreed in writing.
3. Customer Specifications & Responsibilities

Customers are responsible for providing accurate specifications, drawings, tolerances, and requirements.

Iron North is not responsible for errors resulting from incomplete, inaccurate, or outdated information supplied by the customer.

Unless otherwise agreed in writing, Iron North does not provide engineering validation of customer designs.

Normal industry machining tolerances apply unless expressly stated otherwise in writing.
Iron North does not evaluate or warrant the fitness, safety, or suitability of customer-supplied designs for any particular application or end use unless expressly agreed in writing.
4. Changes and Cancellations

Changes to an order must be approved in writing and may result in additional costs or lead time adjustments.

Orders cannot be cancelled once production has commenced, unless otherwise agreed in writing.

Any costs incurred prior to cancellation remain payable.
5. Payment Terms
-
Payment terms are stated on invoices or quotes.

Late payments may be subject to interest at 2% per month (24% annually) or the maximum rate permitted by law.

Iron North reserves the right to suspend work or withhold delivery for overdue accounts.
6. Delivery & Risk
-
Delivery timelines are estimates only and not guaranteed.

Risk of loss transfers to the customer upon shipment or pickup, unless otherwise agreed in writing.

Iron North is not responsible for delays caused by carriers, suppliers, material shortages, or events beyond our control.

Iron North is not responsible for damage or loss occurring after transfer of risk, including during transit or storage.
7. Inspection & Acceptance

Customers must inspect goods upon receipt.

Any claims for defects or non-conformance must be submitted in writing within 7 days of delivery.

Failure to notify Iron North within this period constitutes acceptance of the goods.

Any alteration, modification, or use of goods after delivery shall constitute acceptance and void any claim against Iron North related to such goods.
Iron North shall not be responsible for latent defects arising from customer-supplied materials, designs, or post-delivery use.
8. Warranty Disclaimer
To the fullest extent permitted by law:

All products and services are provided “as is” and “as available.”

Iron North disclaims all warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

Iron North does not guarantee that products will meet customer requirements unless expressly stated in writing.

Iron North makes no warranty regarding compatibility, performance, or results when products are integrated into assemblies, systems, or applications not controlled by Iron North.
9. Limitation of Liability
To the maximum extent permitted by law:

Iron North shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, production, or business interruption.

Iron North’s total liability arising from any claim shall not exceed the amount paid for the specific service or product giving rise to the claim.
Nothing in these Terms limits liability that cannot be excluded under applicable law. Liability is further limited where damages arise from improper use, installation, modification, or application of products outside of Iron North’s control.
9A. Assumption of Risk & Use Responsibility
The Customer acknowledges that machined components, fabricated parts, prototypes, and manufactured goods may be used in industrial, mechanical, or high-risk applications. Improper installation, misuse, modification, or use outside of intended specifications may result in equipment damage, personal injury, or death.
The Customer voluntarily assumes all risks associated with the handling, installation, integration, testing, and use of any products or services provided by Iron North, except to the extent prohibited by applicable law.
9B. No Control Over End Use
Iron North has no control over the design, integration, final assembly, application, or end use of any product once delivered. Unless expressly agreed in writing, Iron North does not provide engineering, safety, or regulatory validation for customer designs or applications.
The Customer is solely responsible for determining the suitability of any product or service for its intended purpose and ensuring compliance with all applicable safety, regulatory, and industry standards.
9C. Indemnification
The Customer agrees to indemnify, defend, and hold harmless Iron North Machining Ltd., its directors, officers, employees, and contractors from any claims, losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to:
(a) misuse, improper installation, modification, or alteration of products;
(b) use of products outside of specified tolerances or intended applications;
(c) Customer-supplied designs, specifications, or instructions;
(d) the Customer’s failure to comply with applicable laws, regulations, or safety standards.
9D. Safety & Regulatory Compliance
The Customer is responsible for ensuring that all products are installed, integrated, and used in accordance with applicable safety standards, codes, regulations, and industry best practices.
Iron North assumes no responsibility for on-site safety procedures, operational controls, training, or protective measures associated with the use of its products.
10. Intellectual Property

All tooling, fixtures, drawings, processes, and intellectual property developed by Iron North remain the property of Iron North unless otherwise agreed in writing.

Customer-supplied designs remain the property of the customer.

Iron North may retain copies of designs for recordkeeping and quality purposes.
11. Force Majeure
Iron North shall not be liable for failure or delay in performance due to events beyond reasonable control, including but not limited to acts of God, supply chain disruptions, labour disputes, power outages, government actions, or equipment failure.
12. Website Use

Iron North makes no representations regarding accuracy or completeness.

Unauthorized use, copying, or distribution of website content is prohibited.

Website content does not constitute technical specifications or contractual representations.
13. Privacy
Use of the website is also governed by our Privacy Policy, which forms part of these Terms.
14. Geographic Limitation
At this time, Iron North Machining Ltd. does not offer products or services to customers located in the Province of Quebec.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms constitute the entire agreement between the parties regarding the subject matter and supersede all prior agreements or understandings.
18. Incorporated Policies
All products, services, transactions, and use of this website are subject to these Terms & Conditions and all applicable policies and disclaimers of Iron North Machining Ltd., including but not limited to:

These policies and disclaimers form part of and are incorporated into these Terms & Conditions by reference. In the event of any inconsistency, these Terms & Conditions shall govern.
