Quotes, Estimates & Lead Times Disclaimer

This Quotes, Estimates & Lead Times Disclaimer (“Disclaimer”) applies to all quotes, estimates, proposals, lead times, timelines, delivery dates, and schedules provided by Iron North Machining Ltd. (“Iron North”, “we”, “us”, or “our”), whether provided verbally, in writing, electronically, or through our website.

This Disclaimer forms part of and is incorporated into Iron North’s Terms & Conditions. In the event of any inconsistency, the Terms & Conditions shall govern.

 

1. Quotes & Estimates

All quotes and estimates are provided in good faith based on information available at the time of issuance.

Unless expressly stated otherwise in writing:

  • Quotes are estimates only

  • Prices may change due to material costs, labor, tooling, subcontracting, or scope changes

  • Quotes are valid for 30 days from the date of issue

Any work requested outside the original scope may result in revised pricing.

 

2. Lead Times & Delivery Dates

All lead times, production timelines, and delivery dates are estimates only and are not guaranteed.

Lead times may be affected by factors including, but not limited to:

  • Material availability and supplier lead times

  • Tooling requirements

  • Machine availability and scheduling

  • Design changes or clarifications

  • Customer response times

  • Third-party subcontractors

  • Force majeure events

Iron North shall not be liable for delays beyond its reasonable control.

3. No Time-of-the-Essence

Unless expressly agreed to in writing, time is not of the essence with respect to any order, project, or delivery.

 

4. Changes, Revisions & Scope Creep

Any change to:

  • Designs

  • Drawings

  • Specifications

  • Quantities

  • Materials

  • Tolerances

may require:

  • Re-quoting

  • Schedule adjustments

  • Additional charges

Work will not proceed on revised scope until changes are approved in writing.

 

5. Customer Responsibilities

Customers are responsible for:

  • Providing complete, accurate, and final specifications

  • Timely approvals and responses

  • Timely payment in accordance with agreed terms

Delays caused by the customer may result in revised pricing or delivery schedules.

 

6. Material Price Fluctuations

Quotes are based on material pricing at the time of issuance.

Iron North reserves the right to adjust pricing if material costs increase prior to procurement or during production.

 

7. Partial Deliveries

Iron North may, at its discretion, deliver orders in partial shipments.

Partial deliveries shall not constitute a breach of contract.

 

8. Force Majeure

Iron North shall not be liable for delays or failures caused by events beyond its reasonable control, including but not limited to:

  • Acts of God

  • Natural disasters

  • Supplier disruptions

  • Labor shortages

  • Transportation delays

  • Government actions

  • Power outages

 

9. Limitation of Liability

Iron North shall not be liable for:

  • Consequential or indirect damages

  • Lost profits or business interruption

  • Penalties arising from delayed delivery

Liability, if any, is limited in accordance with Iron North’s Terms & Conditions.

 

10. Quebec Residents

While Iron North Machining Ltd. primarily operates outside the Province of Quebec, individuals or entities located in Quebec who engage Iron North acknowledge that this Disclaimer, the Terms & Conditions, and applicable Canadian laws govern all work performed.

 

11. Acceptance

Acceptance of any quote, estimate, proposal, or order constitutes acceptance of this Disclaimer, Iron North’s Terms & Conditions, and all incorporated policies.
