Intellectual Property & Customer-Supplied Materials Policy
Iron North Machining Ltd.
Effective Date: 12 January 2026
This Intellectual Property & Customer-Supplied Materials Policy (“Policy”) applies to all services, products, and work performed by Iron North Machining Ltd. (“Iron North”, “we”, “us”, or “our”), including but not limited to custom machining, prototyping, contract manufacturing, and standard product sales.
This Policy forms part of and is incorporated into Iron North’s Terms & Conditions. In the event of any inconsistency, the Terms & Conditions shall govern.
1. Customer-Supplied Designs, Drawings & Specifications
Where a customer provides drawings, CAD files, models, samples, specifications, or instructions (“Customer Materials”), the customer represents and warrants that:

They own or have the legal right to use, reproduce, and authorize the manufacture of such materials

The materials do not infringe any third-party intellectual property rights
-
The materials are complete, accurate, and suitable for manufacturing
Iron North does not provide engineering, design verification, or validation services unless expressly agreed to in writing.
2. Responsibility for Design & Fitness for Purpose
Iron North manufactures strictly in accordance with customer-supplied specifications or mutually agreed written specifications.
Iron North is not responsible for:

Design flaws, functional failures, or performance issues

Engineering errors or omissions
-
Compliance with regulatory, safety, or industry standards unless expressly agreed in writing
-
Whether the finished product is fit for the customer’s intended use
The customer assumes all responsibility for design integrity and end-use application.
3. Customer-Supplied Materials
If the customer supplies raw materials, components, or parts:

Iron North makes no warranties regarding machinability, quality, or suitability
-
Iron North is not responsible for defects, failures, or delays caused by customer-supplied materials
-
Scrap, breakage, or damage may occur during normal machining processes
Iron North shall not be liable for replacement costs of customer-supplied materials unless otherwise agreed in writing.

4. Ownership of Intellectual Property
Customer Intellectual Property
All intellectual property rights in Customer Materials remain the property of the customer or their licensors.
By providing Customer Materials, the customer grants Iron North a non-exclusive, royalty-free, limited license to use such materials solely for the purpose of performing the requested work.
Iron North Intellectual Property
Unless otherwise agreed in writing, Iron North retains all rights to:

Manufacturing methods
-
Tooling, fixtures, jigs, and processes
-
Programs, setups, and workflows
-
Know-how and trade secrets developed during production
No ownership rights are transferred to the customer except for the finished physical products expressly paid for.
5. Tooling, Fixtures & Programs
Unless expressly agreed in writing:
-
Tooling, fixtures, jigs, CNC programs, and setup materials developed by Iron North remain the property of Iron North
-
Charges for such items do not transfer ownership
-
Iron North is not obligated to release or transfer such items to customers
Storage, maintenance, or future availability of tooling is not guaranteed.
6. Confidentiality
Iron North will take reasonable steps to treat customer designs and specifications as confidential and will not intentionally disclose them to third parties except:

As required to perform the work
-
To subcontractors or service providers bound by confidentiality

As required by law
Iron North does not guarantee confidentiality unless a separate written Non-Disclosure Agreement (NDA) is executed.

7. Reuse & Similar Work
Iron North may perform similar work for other customers provided that:

No confidential information is disclosed
-
No proprietary Customer Materials are reused
General skills, techniques, and experience gained during work may be used in future projects.
8. Indemnification
The customer agrees to indemnify and hold harmless Iron North, its directors, officers, employees, and contractors from any claims, losses, damages, costs, or expenses (including legal fees) arising from:

Alleged infringement of intellectual property rights

Defects in customer-supplied designs or materials
-
End-use or application of the manufactured products
This obligation survives completion of the work.

9. Limitation of Liability
Iron North shall not be liable for:

Intellectual property disputes related to Customer Materials
-
Consequential, indirect, or incidental damages
-
Loss of profits, business interruption, or downstream losses
Liability, if any, is limited in accordance with Iron North’s Terms & Conditions.
10. Quebec Residents
While Iron North Machining Ltd. primarily operates outside the Province of Quebec, individuals or entities located in Quebec who engage Iron North acknowledge that this Policy, the Terms & Conditions, and applicable Canadian laws govern all work performed.
